Job Description:

Qualification:

 A member of a recognized body of professional accountants; or a member of a recognized body of corporate or chartered secretaries; or a person holding a master degree in business administration or commerce or being a law graduate from a university recognized by the Higher Education Commission.

 Experience:
 At least Ten (10) years of experience in well reputed Public / Private Sector Organization.  Out of which five (05) years of experience on same position in a Public Sector Organization

Job Responsibilities:

  • Ensure the company complies with all statutory and regulatory requirements.
  •  Manage corporate governance and ensure that the board of directors' decisions are implemented.
  •  Prepare agendas, minutes, and other documentation for board meetings and annual general meetings (AGMs).
  •  Maintain and update statutory books, including registers of members, directors, and secretaries.
  •  Ensure that the company’s filings with regulatory bodies are accurate and timely.
  •  Provide legal and administrative support to the board and executive management.
  •  Communicate with advisers and regulators from the outside, such as lawyers and auditors. Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
  •  Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
  •  Handle correspondence, collate information, write reports, and communicate decisions to relevant company stakeholders.
  •  Ensure the proper and timely dissemination of information to shareholders and other stakeholders.
  •  Manage the company’s insurance policies and ensure they are up to date.
  •  Provide advice on best practices and issues pertaining to corporate governance. Support the board in ensuring the effective functioning of board committees.
  •  Oversee the induction and training of new directors and board members.
  •  Any other task assigned by senior management
